INTRODUCTION The tax structure of foreign mining investment into the United States has a significant impact on the financing and the profitability of the operation. For these reasons, it is critical for the foreign investor to develop and implement a well planned tax strategy that will enable its venture to: (1) reduce its U.S. income tax liability (2) lower U.S. withholding taxes when funds are transferred from the United States, and (3) decrease or defer home country taxation on its U.S. earnings ALTERNATIVE FORMS OF INVESTMENT A threshold business and tax consideration is the form in which the investment is to be made. The most common alternatives include: forming or acquiring a U.S. mining corporation, directly establishing a branch mining operation, or entering into a joint venture or partnership with a U.S. mining company. U.S. Corporations The most common structure through which foreign mining companies engage in business in the United States is to form a U.S. mining corporation. Forming a U.S. Corporation. If the investor decides to establish a new U.S. corporation the organization is relatively simple. No distinctions are made in the United States between "public" and "private" forms of incorporation. Minimum share capital is not usually required and share capital may consist of shares with no par value. Since corporate law is the responsibility of the individual states, the foreign investor must choose a state in which to incorporate. If appreciated mining property is transferred to a corporation solely in exchange for stock or securities in that corporation, and the transferors have control of the corporation (defined as at least 80 percent of all voting shares and at least 80 percent of all other shares) immediately after the exchange, no gain or loss will be recognized. However, if the transferors receive cash or other mining properties in addition to stock, any resulting gain may, in certain situations, be taxed to the extent of the cash and the fair market value of other property received. Acquiring an Existing U.S. Corporation. Acquiring an existing U.S. mining corporation is not as straight-forward as forming a corporation. This alternative may be accomplished through either a stock or an asset acquisition. Generally, with a stock acquisition the purchaser inherits all of the business and tax attributes of the former mining corporation. If the investor is able to acquire mining assets, however, the purchaser will usually be able to avoid any unknown or hidden liabilities that could be attached to an existing corporation. Another principal advantage in acquiring assets is that the purchase price may be directly allocated to the acquired mines or other mineral-related assets with the result that the assets' depreciable base may be increased. Assuming the domestic seller and the foreign purchaser can agree, it is generally advisable to allocate the purchase price in the sales agreement to specific individual assets. From the foreign investor's standpoint, it is preferable to allocate the purchase price to depreciable assets such as buildings and equipment versus an allocation to mineral land holdings or intangibles such as goodwill, which are generally not depreciable. The process of diffusion alloying of mixed powders offers attractive possibilities both commercially and experimentally. It avoids the fabrication difficulties arising from high alloy contents. Indeed, the process is facilitated by larger alloy additions. The direct formation of the part or test piece and the opportunlity to perform machining operations under more favorable conditions are of no small importance. However, it is necessary to make only brief mention of the interesting features. As yet there have been few attempts to study this process in detail and to carry it to completion, if such is possible. It was intended not only to measure the intermediate and optimum magnetic properties of sintered alloys but to use magnetic testing itself as a means of following the progress of alloying under various condi-tions. Having established that alloys could be successfully synthesized by this tech. nique, the opportunity was taken to study the magnetic properties of several alloys of iron and silicon which had hitherto been too difficult to prepare in suitable test piece form. While avoiding some of the difficulties inherent in the fabrication of alloys by orthodox methods, the diffusion alloying process introduces a few of its own. The first of these is the evaluation of the approach to homogenization. In recent years some notable contributions have been made to this question, but considerable uncertainty remains in its definition and evaluation. This work has concerned itself with further study of this problem and it is hoped that more light has been shed on it. The second of these difficulties arises from the presence of porosity. It is inevitable that in the consolidation of a loose bulk of powder, there should remain some voids unless extremely high pressures are repeatedly applied. It was therefore of importance to investigate their effect on magnetic properties. Recently this effect has been studied and certain predictions made of its behavior. It is believed that the experimental results presented here provide a sound substantiation of the theoretical treatment. The attempt has been made to synthesize five alloys of the iron-silicon system and three each of the iron-nickel and iron-cobalt systems. A series of experiments was also conducted on some of these alloys to test their susceptibility to heat treatment. Some unfortunate experiences have provided opportunity to report data on the deleterious effects of nitrogen on magnetic properties when present as a a in protective atmospheres. During the last decade the petroleum refinery engineer has made great progress in achieving a better understanding of the physical behavior of hydrocarbon mixtures, with particular reference to their pressure-temperature-volume relationships, the mechanism of the evaporation of liquids, the condensation of vapors, including the changes in composition, and the heat effects accompanying them. With the new insight into the mechanism of movement of oil and gas through the formations in which they occur, achieved by the production engineer, it is clear that the latter will need to utilize in the solution of his own problems much of the information outlined above. It is the purpose of this paper to outline the portions of that information that seem most certain to prove of importance in production work. Properties of Pure Hydrocarbons While it is true that petroleum always consists of highly complex mixtures of hydrocarbons, none the less understanding of the behavior of the mixture must be based upon a knowledge of the properties of the pure components. However, in view of the tremendous number of hydrocarbons existing in petroleum, the determination and formulation of the properties of all of them would seem a discouraging task. The difficulty of the situation is increased by the undoubted facts that the overwhelming majority of chemical individuals in petroleum have never been isolated as pure compounds, none of their physical properties have been determined and even their chemical constitution is unknown. The situation would be hopeless were it not for the fact that certain extraordinary correlations of important properties of various hydrocarbons have been discovered which make it possible to predict those properties for a given chemical individual on the basis of a very limited characterization of it. THE big mass of anorthosite in the Lake Sanford district and the bodies of titaniferous magnetite that occur in a small area near the south margin of the mass have been described repeatedly, and the puzzling problems of the genesis of the rocks and ores have stimulated the deductive reasoning of geologists for a hundred years. Some of these men have taken a leading part1-15 in describing the anorthosite rock and forming hypotheses concerning its origin; some have contributed most to the study of the ore deposits;'"= and some have made classical Studies3,4,21-27 introducing a basic approach to the problems of the anorthosite rock and genesis of the titaniferous magnetites. Much of the writing on the problems of rock and ore genesis has been based on physical-chemical reasoning rather than on field and microscope observations of the rocks and ores. Most of these geologists conclude that the anorthosite was formed by true magmatic crystallization, involving previous settling or squeezing out of ferromagnesian minerals from the parent magma. The associated gabbro is a separate segregation or later intrusion, and the lighter colored and finer grained facies of the anorthosite is either a chilled border zone of the anorthosite or the result of granulation by crushing of the coarse, dark blue rock of the main mass. This blue rock, called the Marcy type, is named after the higest peak in the range. The finer grained and lighter colored rock is called the White-face, after another mountain appropriately named for a cliff colored by this facies of the anorthosite. In explaining the genesis of the ores the authors have reached no general agreement, but all consider them to be dominantly the result of magmatic processes rather than the result of replacement by pneu-matolytic or hydrothermal processes. However, in the conclusions of two authors, Osborne27 and Ste-phenson," the reader is told positively that the ore minerals were introduced after the wall rock was solid and also that the oxides are later than the silicates. This seems to mean that the ore came in as a later intrusion, like a dike, since Osborne speaks of filter pressing and later injection of a residual magma. Stephenson agrees in general with Osborne but disagrees with his conclusion that ore does not grade into country rock. Singewald22 calls in "mineralizers" to participate in magmatic deposition. Stephenson ends his paper with a statement that replacement was the dominant process for the introduction of ore with anorthosite. Hence both Singewald and Stephenson call on pneumato-lytic or hydrothermal processes to supplement magmatic crystallization from a silicate melt, but they cannot quite bring themselves to state that the orebodies formed in that way. In their conclusions the ores are still magmatic segregations and magmatic injections and—almost as an afterthought— "replacements." According to Bateman18 there was a gravitational accumulation process of the iron silicates and oxides, which were injected later. Rambere explains the ores entirely on physical-chemical theory, as does Evrard.17 Buddington and associates,10 in a paper presented to the Geological Society of America in 1953, believe the facts observed prove that the magnetite-ilmenite formed at magmatic temperatures. The present writer's conclusions, given here, were first presented in 1947 in Industrial Minerals and Rocks.= Since the papers of Ramberg, Bateman, and Buddington, published after 1947, gave no recognition to those conclusions that differ from their own, the writer has taken an opportunity to restudy the area in the field, and to examine a number of microscopic sections, and now presents the evidence more thoroughly than he had an opportunity to do in the

The existence of natural gas-springs in Pennsylvania and the adjoining States west of the crest of the Allegheny Mountains was known to the earliest settlers. Possibly the first gas obtained from a well was at Fredonia, Chautauqua County, N. Y., where a well was sunk on the bank of Canadaway Creek, near the Main Street bridge, in 1821, and sufficient gas obtained for 30 burners, the inn having been illuminated by the gas when General Lafayette passed through the village about 1821. In 1858 another well was drilled, which supplied 200 burners. A still larger one was drilled to a depth of 1200 feet in 1871. According to Mr. E. J. The recirculating furnace is primarily a heating apparatus of the convection type in which the heat-absorbing surfaces are heated by a mixture of fresh products of combustion and a portion of the combustion gases that have already given off a part of their heat in their previous passage over the heat-absorbing surfaces. In its basic conception, the recirculating furnace can be considered as a closed thermal system in which the heat-absorbing surfaces are constantly swept by a fixed quantity of products of combustion at a given initial temperature with the gases being constantly returned to the furnace and reheated before they again enter the heating zone. Gases equal in amount to those produced by the fuel burned to reheat the circulating gases are constantly ejected from the system to the stack. The recirculating furnace is the most suitable apparatus for heating by convection where low furnace temperatures must be maintained and where only a small portion of the available heat is taken out of the gases, particularly where the maximum allowable furnace temperature is low and where the final temperature of the gases is only a few hundred degrees below their initial temperature. In such cases, recirculation not only provides a method of reducing the rather high combustion temperatures of the fuel when burned without a large amount of excess air, but, by returning to the furnace the heat content of the gases at their final temperature, recovers a large portion of heat that otherwise would have been lost through the stack. The convection-type oil still is particularly suitable for the application of flue-gas recirculation. In an oil still, the heating of the oil is accomplished by applying to the tube surfaces a given quantity of heat of a certain predetermined quality, usually with the initial temperature of the gases not over 1500" F. as measured by thermocouples placed above the tube bank. To obtain the full benefit of the heating surface of the coil, the final temperature of the gases, after passing over the coil, is kept 200" to 300" higher than the temperature of the incoming oil. THE relation between gases and metals has been a subject of increasingly active investigation during the past years, principally devoted to the study of metal-hydrogen systems. It has been found that hydrogen is soluble in most molten metals to an appreciable extent and somewhat soluble in most solid metals.1,2 In every known case there is a sudden decrease in solubility at the melting point. Thus a freezing mass of metal containing hydrogen in excess of the solid solubility must in some way expel that excess during the freezing process. This leads to internal blowholes, and such effects as pinhole porosity. Gas trapped in metal that is to be fabricated by a working process such as extrusion or rolling may be the cause of blisters. For some cases, notably in copper and iron alloys, the presence of hydrogen can lead to extreme embrittlement of the metal. The aluminum-casting industry has long recognized the importance of hydrogen in its techniques. Excess gas in molten aluminum alloys often leads to the formation of "pinhole porosity" in the solid casting.3 To prevent this hydrogen pickup it is necessary to avoid overheating the melt and to protect it from such sources of hydrogen as water. In spite of all precautions, it is sometimes necessary to extract hydrogen from the melt just before pouring by bubbling with a gas such as chlorine or nitrogen. Recently it has been found that somewhat similar effects are possible with magnesium alloys, in that the presence of hydrogen can induce or aggravate microporosity.4-6 This paper is primarily concerned with a presentation of some facts concerning the solubility of hydrogen in magnesium and its alloys, with some discussion of the significance of these facts in a practical sense. In any study of gas-metal systems it is important to bear in mind a clear distinction between adsorption on surfaces and absorption within the lattice.1 Considerable attention has been directed toward determining whether hydrogen is truly soluble in any solid metal, or whether the gas extracted from a sample was present at surfaces (external and internal) only.7 Most present day evidence supports the idea of true solution in addition to adsorption. A second important factor when dealing with gas solubility is the dependence of such solubility on external pressure. For diatomic gases such as H2, solubility in both liquid and solid metals apparently is proportional to the square root of the pressure, indicating a breakdown to a monatomic gas before diffusion into the lattice .2 For true equilibrium values of solubility, therefore, the pressure at the metal surface must be constant and, preferably, known. Fifteen years ago, in his presidential address before the Washington Academy of Sciences,' Alfred H. Brooks said: "Applied geology can only maintain its present high position by continuing the researches which advance the knowledge of basic principles. Future progress in applied geology depends on progress in pure geology. Early in 1927, Dr. David White, then chairman of the Division of Geology and Geography of the National Research Council, appointed a committee "On the Processes of Ore Deposition," which was the first recognition by the Council of this branch of applied geology. This committee will not be able to solve the many complex problems involved; it can only clear the way, survey the field, state the problems and encourage systematic research. This short paper aims to outline and to analyze the present status of this kind of geological research, to ascertain the quality of the work and to suggest lines that might profitably be followed. Increasing Demand for Geologists Economic geology, or the art of geology, could develop only after the principles of geology and mineralogy had been established. Before that time it was merely a collection of trade rules accompanied by more or less wild speculations. Thus we observe the beginnings of economic geology in the period 1770-1820. Soon afterwards, the State Surveys were established in this country, with the realization that the natural resources should be investigated and described. Geology was hardly yet equal to the task of scientific research in relationships and genesis, however, and there followed a period of discouragement and stagnation. In the meanwhile, pure geology had again registered progress, and, based on its principles and also on the rapid mining development in the Cordilleran region, the present phase of the study of ore deposits began to take form. Raphael Pumpelly, S. F. Emmons and G. F. Becker were among the pioneers in this movement. The United States Geological Survey was organized. Ore deposits were scientifically described and studied along lines of structure and mineralogy; theories of genesis were advanced, not always permanent but based on sound induction.

Since Bohler discovered, in 1903, on cooling certain alloy steels, the phenomenon of a new and lower temperature transformation than the usual Ar 3-2-1 obtained by increasing the maximum temperature to which the material was heated, much has been published1 connecting this phenomenon with a large number of dissimilar steels of high alloy content. From the fact that the transformation divides itself, taking place at two widely separated temperatures, it has been called a "split transformation." The significant facts established by recent investigators2 are: that when the transformation occurs at the higher temperature Ar1, troostite or a decomposition product is formed, and that when the transformation occurs at the lower temperature Ar", the resulting structure is martensite. The terminology Ar' and Ar" adopted here is that of Portevin. Previous Investigations Reviewing the work on this subject published in a recent issue of Revue de Metallurgie and referring in particular to his statement that martensite is a solution of carbide in alpha iron, Le Chatelier says :4 "How then can a theory already 20 years old demand new investigations? The reason for it is that we have not succeeded in proving directly the real presence of the transformation of iron during the very short duration of the quenching. 9.1-1. Description and Basic Function. A conventional railroad haulage system for a surface mine performs the function of transporting the ore and/or waste out of the pit to a crushing plant or dump. Trains consisting of a locomotive and gondola or side-dump care suitable for loading by power shovels are used. Gondola cars are restricted to hauling ore as a rotary dumper is required to unload them. Side-dump cars are more versa- tile, being satisfactory for carrying both ore and waste; but because of their additional dumping mechanism they are likely to be more expensive to maintain (12). Also they weigh up to two times as much as a flat-bottom car of the same capacity, and, therefore, fewer cars can be hauled per train. Standard-gauge track is most commonly used. Track systems incorporate temporary track of low quality in areas where moves are frequent and permanent track of high quality on main lines. Rail haulage enabled open pit mining to establish its reputation, for efficiency. Prior to World War II it was the principal type of transportation used in large pits. Other successful surface mine haulage methods have been developed since that time. These have served to supplement railroad transportation, permitting selection of a method that is best adapted to the peculiar requirements of each mining project. 9.1-2. General Applicability and Controlling Physical Conditions. For handling rough rock, the shovel-train system is unexcelled (6). The ideal application is in a physically large, but not excessively deep, open pit mine from which the coarsely blasted ore and waste must be transported distances in excess of three miles. INTRODUCTION A BRIEF elemental discussion of the fundamental factors involved in diamond drilling often fills a need, particularly when a mine operator is contemplating for the first time an exploratory drilling campaign. Mr. James A. Barr, of the Mining Methods Committee of the Institute, has suggested that many engineers must undertake a drilling program of one kind or another and, in the case of diamond drilling, sometimes even are at a loss as to how to start correspondence. The Bureau of Mines has acquired much experience in managing exploratory diamond-drilling activities. Its activities in diamond drilling included exploring for potash in Texas, Utah and New Mexico 1-4 during the 1920's. The Strategic Minerals Exploration program was started in 1939 and was materially expanded during the war to include critical and essential minerals. At the peak of its war-time activity more than 200 engineers were employed, a majority of whom supervised diamond drilling. Many of them had little experience with such work prior to their employment with the Bureau, and it was necessary to instruct them in their duties. The purpose of this paper, therefore, is to present the fundamentals of exploratory diamond drilling from the viewpoint of management in such a way that they will serve as a basis on which those beginning exploratory diamond drilling may build an experience and acquire ability to direct exploration as they gain that experience. SELECTION OF METHOD OF DRILLING Selection of the method of drilling is governed by the type of material to be penetrated and by the type of sample needed to determine the quality and importance of a deposit. Types of drills that might be used for a given job include diamond drills, churn drills, hand auger drills, power auger drills, bucket drills, and rotary drills (sometimes called "seismograph rigs"). Each type has a specific field in which it is most useful. While the Bureau of Mines utilized all the types of drilling mentioned, diamond drilling was used on a majority of its exploratory projects. FACTORS GOVERNING SELECTION OF DIAMOND DRILLING The prime consideration in selecting a method of drilling is first to determine what results are desired and then to choose a method that will furnish reliable data in the ground to be penetrated. Use of diamond drills permits recovery of a core as well as sludge at a comparatively low cost. Coke is the product of dry distillation of bituminous coal, by which the volatile matter is driven off, producing a hard body of cellular structure. Not all bituminous coals will coke, and there has been much discussion regarding the substance which is present in coking-coals to distinguish them from dry coals. Professor Lewes says that the bituminous matter in coal is largely derived from the spores of fossil mosses. Resins are present in all soft coals, and contribute largely to the cementing of the coke. The resinates and hydrocarbons begin to distil out at moderate temperatures and leave the pitchy residual, which at 500' C. forms a mass already well caked together, if the proportion of humus residual is not too great. This coke is soft, but if the heat be raised to 1,000° C. the pitch decomposes further, leaving carbon, and Professor Lewes is convinced that the coking bond is due to these liquid products which distil off, leaving pitch, which then carbonizes and binds the mass into coke. Professor Parr concludes that the structures of the organic compouilds of the coal Which furnish the cemeding-material for coke, and which are apparently attacked by oxygen, have not been determined and seen] to vary somesvhat in different types of coal. However, they yield, on oxidation, humic acids of varying composition which decompose into powdery residues. Because of the complex nature of these substances and the difficulty experienced in isolating and identifying them, the theory of coking is still an open problem and the explanations advanced are largely hypothetical. In the coking process the volatile matter driven off in the oven consists mainly of tar, ammonia, and gas, familiarly known as by-products. ONE of the most important contributions to the art of electrolytic zinc production has been the aluminum cathode. This has been used in all major production since its commercial development in 1916. The literature is replete with important contributions, some of which may have been replaced by better ones, but thus far there appears no other metal to take the place of aluminum as cathode material. Credit for this innovation goes to Sherard Cowper Coles, of England. When experi¬menting on the extraction of zinc from Broken Hill ore at Hayle, Cornwall, in 1893, he introduced the aluminum cathode, and in 1895 obtained British Patent No. 20073. The reason for this dominant position of aluminum as cathode material in zinc sulphate electrolytes is its unique surface, to which electrodeposited metals usually do not tightly adhere. The metal must be of high purity for best results. It is possible to develop a starting-sheet method by which thin electrodeposited sheets of cathode zinc are made and stripped from a smooth aluminum plate. Such thin sheets of cathode zinc may be used as are the copper sheets in standard electrolytic copper-refinery practice. However, complications arise because of extreme warping of the zinc starting sheet after a few hours of deposition, and thus special arrangements must be made to compensate for this abnormality. Reasons advanced for the ease with which deposits may be stripped from the aluminum surface are: (1) presence of a permanent oxide coating on the metal, (2) failure of aluminum to alloy with the deposit, (3) differences in coefficient of expansion, (4) high position of aluminum in the electromotive series of metals. Of these reasons for nonadherence, which may have some application in general deposition, probably the oxide coating has the greatest bearing on the subject of zinc deposition. STREAMS and rivers are the principal channels into which the weathering products of rocks and their contained ores are funneled. The inorganic load of a stream system is a crude sample of all the earth materials in the drainage basin of the stream, and the heavy mineral assemblage of sediments is one of the oldest and most successful guides to certain kinds of bedrock ore in unexplored terrain. Early application of this method was made possible by the ease of separation and identification of heavy minerals in the field with the simplest equipment. Water analysis for traces of base metals became a practical possibility about eight years ago with the development of rapid chemical tests that could be carried out at the field site.' , Since that time the water method has been widely used in mineral reconnaissance, and a substantial number of discoveries have been reported. Here again, the techniques developed for this work were relatively simple and could be performed easily at the field site. Sediment analysis by chemical methods, as distinguished from mineralogical, has received less at- tention. Some experimental work was done by Lovering and others," but to the authors' knowledge, chemical analysis of sediment samples has not been used in routine exploration programs until very recently. In spite of the obvious promise of this method, it was not pursued vigorously because of the lack of a simple and portable chemical test that could be used conveniently at the field site or in a field camp. Procedures that had been developed for trace analysis of soils all called for a rigorous chemical attack with hot acids—tests more conveniently applied in processing large volumes of routine soil samples at an established field headquarters. Recently an extremely rapid and simple test was developed by Bloom.4,5 The extractant used in this procedure is a cold solution of ammonium citrate. Elements measured are the heavy metals, principally zinc, lead, and copper. This method differs from the established procedures for soil analysis in that it measures only a small fraction, about 5 pct, of the total metal content of the sample. It has been found, however, that the significant pattern of metals in the sediments of streams below a base-metal deposit can be brought out as well and sometimes better by this simple cold-extraction procedure than by the more tedious methods requiring hot acids. Automatic recording of the radioactivity of the earth's formations provides a log of relative intensities that, if properly interpreted, can be applied to oil-field engineering. Production, engineering, and geological departments regard the radioactivity log as a forward step in the securing of more conclusive information for successful well completions. Explanations of the technique, together with some of the problems to which radioactivity logging have been applied, are presented in this paper. Introduction Those responsible for the completion of new oil and gas wells, or with planning workover operations on old wells, have followed closely the development of radioactivity well logging because they are interested in reducing the number of unknowns that usually are present in such work. Many operators have made use of the log, or are acquainted with at least one of the applications, but it is unlikely that any one operator is familiar with all of the many applications that are possible. The purpose of this paper is to present a representative example of each of the many applications, wherever the information has been released by an operator, and to illustrate by hypothetical examples other applications, releases for which have not been given. In this way, it is hoped that a better understanding of the scope of this new engineering tool may be obtained. Athough the literature contains many references that describe in detail the theory, development, and application of radioactivity well logging, a brief discussion of the technique may be helpful to those who are investigating the subject for the first time, All rocks contain radioactive material in varying concentrations. In general, shales contain relatively more radioactive material than sandstones or limestones. These radioactive materials disintegrate with time into other materials of lower atomic weight, and in that process of disintegration the rocks are emitting many rays, the most penetrating of which is the gamma ray. The intensity of emission of the gamma ray is proportional to the quantities of radioactive materials present. A higher rate of emission would be observed, therefore, opposite a shale than opposite a sandstone or limestone. Since measurable intensities of gamma rays are capable of penetrating as many as five concentric strings of casing, and as the gamma-ray intensity is relative to the formations, the measurements of variations in gamma-ray intensities offer a means of identifying cased-off formations in their proper stratigraphic sequence. TEe Gamma-ray Curve The measurement of gamma-ray intensi ties is accomplished by means of an ioniza-tion chamber that consists of a heavy cylinder, about 3 ft. long, that contains two insulated electrodes and is Med with an inert gas under high pressure.
