"8.1. INTRODUCTIONThe purpose of this chapter is not to provide precedents or examples of provisions, but rather to offer some comments that may be worth considering in the negotiation or review of an agreement. These comments are not intended to be exhaustive. It must also be noted that, although the chapter is written in the context of a common law joint venture, the concepts and concerns for the most part apply equally to a corporation that is owned by only a few shareholders for the purpose of participating in the project held by the corporation.The corporation has the advantage of having much of its organization established by local corporate law, but the particular wishes of the shareholders will appear in a shareholders’ agreement. The principal differences will be surprisingly small, save for the acquisition provisions that appear in a farm-in agreement1 and the substantial portion of the joint venture agreement devoted to creating and organizing the joint venture entity. Where the joint venture agreement refers to venturers and committees, the shareholders’ agreement will refer to shareholders and the board of directors, but both will have to deal with such basic matters as decision-making, default, dispute resolution, first refusals, funding, and carrying out work on the project. For convenience, this chapter usually refers to “venturers”, which may be taken to include shareholders.Negotiations give rise to many varying circumstances and concerns, and the main asset of the negotiator is an open and flexible mind. A desired result can often be accomplished indirectly in circumstances where the other side has adopted an inflexible position on a suggested approach. As precedents and standard forms tend to focus a negotiator’s thinking, they can be counterproductive. It is after the deal has been agreed to that a precedent can be of great assistance to the draftsman.The concepts are arranged in alphabetical order for convenience, not to suggest their sequence or position in an agreement or their relative importance. An agreement should adopt a progression of subjects in what the parties consider a logical sequence to read and work with. However, experience has indicated that it is best to set out in a single article the substance of the deal (i.e. the terms relating to the farm-in and what the acquiring party has to do to acquire his interest), preferably near the beginning of an agreement. The acquisition of the interest is, after all, the first order of business. The joint venture provisions will then follow in a reasonable sequence. It is also worthwhile to devote a single article to any special provisions that may apply during the earn-in period. For example, it may be provided that, although all work is to be done by the acquiring party as operator (with the duty of care, liability, and reporting requirements as set out in the joint venture sections of the agreement), but during the acquisition period, the acquiring party, acting as operator, may be at liberty to do such work as he wishes, without the need for any committee or other approvals, and committee meetings may be suspended.2An agreement is divided into paragraphs and articles to make it easier for the parties to read and understand, and to assist a party in finding “that provision” when the need arises. A comprehensive table of contents will also assist the parties who must work under an agreement. An added benefit of a table of contents is that in preparing it, the draftsman sees the overall structure of the agreement and will often catch and correct flaws."

Introduction This paper is a descriptive analysis of injuries and fatalities at small surface bituminous coalmining companies in Pennsylvania. The purpose of analyzing a specific industry sector and location is to identify issues that might be missed in a wider analysis. Other studies of small mine safety (e.g., Peters and Fotta, 1994, Randolph and Boldt, 1997) have shown that the relationship between safety and mine size is not a simple one. Some injury types occur at higher rates at small mines, while others occur at lower rates. Consequently, an analysis limited to a specific type of mining can help identify hazards and issues specific to that sector. The results of this analysis will be useful for directing training, intervention, and research efforts towards the most prevalent causal factors and incident types. Procedures and Definitions Data sources The primary sources of data for this analysis were files provided by MSHA containing information collected under Title 30 Code of Federal Regulations, Part 50. These files, commonly referred to as “Part 50 data”, are provided though MSHA’s Program Evaluation and Information Resources directorate. Two primary types of injuries were selected from the Part 50data: Fatalities (MSHA “degree of injury” code 1) and lost-time injuries, otherwise known as nonfatal with days lost (MSHA “degree of injury” codes 2 through 5). Lost-time injuries involve either actual days away from work or days of restricted activity or both. Fatality and lost-time injury incidence rates were calculated using the standard MSHA formula: Number of injuries per 200,000 employee-hours. Additional information on company sizes and mine ownership was provided by the Pennsylvania State University College of Earth and Mineral Sciences. Time span A five-year time span was selected for this study. More than a single year of safety experience is usually needed to capture a broad range of incident types. Many types of injuries, especially fatal injuries, can be extremely rare, and may be missed if too short a time span is selected. However, a time span that extends too far back may begin to suffer historical threats to validity. That is, incidents that occurred several years ago may be caused by hazards that have since been remedied or may be related to mining practices and conditions that no longer exist. A five-year span offers a practical compromise between these two concerns. Consequently, the MSHA Part 50 data files from 1993 through 1997 were used. The 1997 file was in “preliminary” form at the time of the study, so small variations from the final 1997 “close out” file can be expected. Based on past experience, we do not expect the close-out variations to have a significant impact on the findings.

AN ACT prescribing the mode of maintaining and defending possessory actions on lands belonging to the United States. The People, etc. SEC. 1. Any person now occupying and settled upon, or who may hereafter occupy and settle upon any of the public lands belonging to the United States, unoccupied, except upon lands containing mines of any of the precious metals, may commence and maintain any action for interference with, or injuries done to his possession of said land, against any person or persons so interfering with or injuring such land or such possession. SEC. 2. On the trial of any such cause, the possession or possessory right of the plaintiff shall be considered as extending to the boundaries embraced by the claim of such plaintiff, so as to enable him to have and maintain any action as aforesaid, without being compelled to prove an actual inclosure; provided, that such "claim" shall not exceed in any case one hundred and sixty acres of land. SEC. 3. Every such claim, to entitle the holder to maintain any action as aforesaid, shall be marked out, so that the boundaries thereof may be readily traced, and the extent of such "claim" easily known, and no person shall be entitled to maintain any such action for possession of, or injury to, any claim, unless he occupy the same, or shall have made improvements thereon to the value of $100. SEC. 4. A neglect to occupy or cultivate such "claim," for the period of three months, shall be considered such an abandonment as to preclude the claimant from maintaining any action as hereinbefore mentioned. Sec. 5. Any person or persons claiming the right of possession to land under this act shall have the right to defend said possession and the claim thereto, and all the rights and privileges given them by this act.

DuRing the winter of 1868-9,I was called upon by Professor F. H. Storer, to put up the Bunsen filter pump in the chemical laboratory of the Masschusetts Institute of Technology. As the laboratory is on the lower floor, it was found necessary to use a great deal of cumbrous pipe and apparatus to get the necessary column. It was then suggested that if an instrun~ent could be devised which would make use of the hydrant pressure in the service-pipe, it would do away with the objectionable features of the Bunsen pump. After using the Bunsen pump for some years, the jet pump to be described in this paper was devised, and it has since been adopted by Prof, Wing in the quantitative laboratory of the school. I am much indebted to Prof. Wing for his aid in starting the manufacture in brass of these jet pumps, whieh are now to be had in Boston. The jet pump much resembles the Giffard injector in form. It, differs from it in the fact that water is the impelling fluid, and air the impelled, while with the injector steam is used to impel water. The principle of condensation of steam, which is availed of in the injector, is entirely wanting in the jet pomp. The jet pump consists in a water jet, w, (see figure), a constriction or waist, a, and a waste tube, o. The success of the jet pump depends on the follow ing conditions: 1. The relation between the sizes of sectional area of a and w. ' 2. The proximity of n and w. 3. The form and angle of the two hollow cones whose vertices make the constriction a. 4. The relative size of sectional area of w and o. 5. The zigzags, or an equivalent means of making foam. The bending strength and flexural stiffness of a micropile at its threaded connection is less than its intact strength and may fail due to thread slippage or by fracture through the pin (reduced cross-sectional area of male threads in the threaded zone of the casing). The mode of failure depends on the reduction in cross-section necessary for machining the threads, and details of the threaded connection such as the length of threaded connection, size and shape of threads, and the thread density (threads per inch). Based on data from bending tests conducted on 9-5/8 inch diameter micropile casing, a method has been developed to predict the ultimate moment capacity and initial bending stiffness of round threaded micropile connections. Two modes of failure were observed from four-point bending tests conducted at the University of Illinois on 9-5/8 inch casing with round threads. Threaded micropile casing connections with an effective thread length of 1.35 inches typically failed by slippage at the threads (jump out), while connections using an effective thread length of 1.89 inches failed by fracture of the pin. These two failure modes were described by W.O. Clinedinst in his report to the American Petroleum Institute on tension tests of threaded pipe casing. Clinedinst developed an empirical formula to determine the tensile strength of threaded connections. A method to predict moment capacity for threaded micropile connections by modeling the micropile cross-section and applying Clinedinst?s equation to determine the max tensile stress along the threaded connection while satisfying force equilibrium is proposed. The predicted moment capacity for threaded connections using this approach is within ten percent of measured for both modes of failure observed from the bending tests.

Laboratory bias is a universal problem in all branches of analytical science. It results from differences in methods, techniques, equipment, and calibrations between laboratories. Notwithstanding that it is a property that can be measured by the use of standards or by inter-laboratory testing, laboratory bias remains a material issue for the mining industry. There is extensive literature and clear guidelines on measurement from the International Organization for Standardization (ISO) and its worldwide federation of national standards bodies (ISO member bodies) and from the science of metrology. ISO guides cover the manufacture and use of standards. An accessible source of literature covering laboratory quality control comes from the public health sector, particularly pathology. There is little doubt in financial reporting rules about the meaning of materiality. Public reporting guidelines are clear that material matters need to be disclosed for investors. Unfortunately there is currently no clear guidance what to do about biased assay results in mineral industry public reporting guidelines. This paper reviews the requirements for the manufacture and use of reference materials, public reporting requirements in the mining industry, and presents proposals to improve management and reporting of laboratory biases. This paper explains the politics of mine nationalization in contemporary South Africa. Nationalization and privatization typically occur in the oil, mineral resources, and state utilities sectors, and they tend to follow one another in a long-term cyclical pattern. The paper explains why the current international environment has encouraged demands for nationalization and other forms of ?resource nationalism? in the South African minerals sector. It goes on to describe how the resurgence of resource nationalism has been influenced by internal factional politics in the African National Congress. It concludes that nationalization is unlikely to be the outcome of current policy deliberations within the ANC.

A Aperam é uma grande consumidora de gases do ar, principalmente Argônio. A produção de Argônio é feita através de coluna de destilação, onde são também extraídos Oxigênio e Nitrogênio. A modalidade de contrato adotada pela Aperam é do tipo take-or-pay para todos os gases, porém nem todo Oxigênio produzido era consumido. A Aperam então desenvolveu um projeto visando aproveitar esta “sobra” de Oxigênio no seu forno Walking Beam, para enriquecimento do ar de combustão. A utilização de Oxigênio permite reduzir, de maneira indireta, o consumo de Gás Natural neste forno. Após a implantação do projeto a Aperam está apta a consumir acima da capacidade de Oxigênio produzida, sendo necessário implementar uma estratégia de controle que permita limitar a máxima velocidade deste gás na tubulação (risco de explosões) e reduzir a interferência entre os diversos consumidores, o que poderia provocar desarmes ou oscilações na estequiometria dos gases. Para isto foi aplicado técnicas de controle antecipatório. Este trabalho irá abordar as estratégias de controle utilizadas, sua sintonia e os resultados obtidos.

The authors were involved in the Trial Blast work at Chek Lap Kok, the site of the new Hong Kong Airport. As part of that work a series of computer programs including 3x30, QFRAG, DESIGNER and 3DMUCK was employed to predict various aspects of the trial blast programme. These aspects included fragmentation and muckpiie shape. This provided an excellent opportunity for these programs to be calibrated, verified and compared under controlled conditions. The results indicated that computer simulation has reached a high level of sophistication and good correlation between prediction and measured results was found.

The U.S. Bureau of Mines seeks to increase safety and efficiency in U.S. coal mines. One approach is to develop technology for automation of a continuous mining machine. Realization of an autonomous mining machine requires development of subsystems for machine intelligence, navigation-positioning, and computer control. This report focuses on investigation of one subsystem, an onboard heading system, which would be responsible for determining and controlling machine heading. The onboard heading system investigated is a multisensor system to determine machine heading, pitch, and roll. A directional gyroscope provides heading (yaw), fluxgate sensors provide a compass heading, and gravity-referenced clinometers give machine pitch and roll. The system utilizes a dedicated microcontroller networked to an external system of computers. Tram commands, supplied to the network from external computers, are executed by the onboard system. Sensor feedback is employed for closed-loop control of machine heading by controlling pivots and turns. The report discusses operating limitations and error sources of system sensors and presents test results of closed-loop control of machine heading. Results of tests with a mining machine are used to exhibit various sensor shortcomings and to evaluate control of pivots and turns.

Hydrometallurgical zinc recovery from EAF dust has several advantages compared to pyrometallurgical alternatives in terms of low temperature operation, lower energy consumption and higher flexibility. Many hydrometallurgical processes have been suggested and tested over the years without success. The main reasons are: -Low leaching yield of zinc due to the fact that a high fraction of ZnO in the EAF dust exists in the zinc ferrite structure which makes selective leaching of ZnO not possible -Many of the proposals could not handle the halide in the EAF dust To eliminate these two disadvantages, two zinc ferrite elimination concepts have been tested and developed in the REZIN project of the EU 5th Framework Programme. The two concepts for zinc ferrite elimination could be shortly described by the following chemical reactions: A. ZnOFe2O3 + 2CaO = Ca2Fe2O5 + ZnOfree B. ZnOFe2O3 + C = Femet + CO/CO2 + ZnOfree These two concepts were investigated in details in combination with a subsequent leaching step using the novel EZINC process for recovery of zinc from EAF dust. Leaching of pretreated samples has shown great increases of a zinc recovery yield. A zinc recovery of over 90 % could be reached, as compared to about 50 % for no-pretreated samples. This paper will describe the two concepts in details.

While investigating methods for determining the best temperatures for hot-working experimental stainless steels, the Bureau of Mines Albany Metallurgy Research Center developed a machine in which hot-twist tests could be made in a few minutes. This machine is similar to some used previously except that specimens are heated by induction instead of by radiation, and their temperature is measured by a calibrated radiation-detection unit instead of by a thermocouple. In. developing the technique for using the new machine, tests were made on specimens of medium-carbon steel, mild steel, and AISI (American Iron and Steel Institute) type 304 stainless steel. Tests also were made on as-cast specimens and preworked specimens of experimental AISI type 202, low austenitic stainless steel, and as-cast specimens of AISI type 301 experimental stainless steel. The optimum hot-working temperatures were determined for all types of steel tested. Also, data were gathered on the effects of test speed and temperature on torsional strength and the effect of twisting on tensile stress in the specimen.

THE geologic structure of the Idaho phosphate field has an important bearing on the classifica-tion and the exploitation of the lands that contain phosphate. Maps and structure sections1 recently made available show that the phosphate is mainly preserved in downfolded or downfaulted areas. Since the phos- phate beds are generally rather soft and lie between harder and thicker formations they have been forced to adjust themselves to these formations during epochs of disturbance of the earth's crust, so that they are frequently affected by minor folds and by faults which may help exploitation by producing undue thickness at certain places or may hinder it by cutting out the phosphate at other places where according to expecta-tion it should be present. A particularly important structural feature which affects both the distribution and the exploitation of the phosphate beds is the great Bannock overthrust by which one or more slices or blocks of the earth's crust have been pushed over other blocks like ice cakes on a pond. Thus in this region a great flap of folded rocks lies across other rock structures for a distance of approximately 35 miles. Most of the commercially accessible phosphate deposits, shown in the maps that accompany the report cited, are in this flap, which con-stitutes the upper block of the overthrust. In some places, however, the phosphate in the lower block is also accessible. In both blocks post-phosphate rocks exposed at the surface here and there indicate that phos-phate beds may lie at greater or less depth below. The presence of the Bannock overthrust beneath much of the area reported is known by the occurrence of windows in the upper block both within the quadrangles mapped and in areas farther west. The portions of the lower block exposed in these windows show stratigraphic dis-cordance with the surrounding formations. The depth of the fault plane at most places, however, can be told only by drilling or actual mining. Some of the folds in the upper block are relatively deep and it seems fairly certain that the phosphate that may originally have been present in their deeper parts has been removed by thrust faulting. The estimates of phosphate reserves in folds liable to be affected by the Bannock overthrust may therefore need ultimate revision depending on the depth of this fault plane, as it may subsequently be ascertained.

"Microwaves have the capability to heat up sulphides, especially clusters of particles of approx. 1 mm. Some sulphides absorb microwaves more readily than others. Molybdenite is especially effective in this regard, possibly due to its flaky nature and/or electrical conductivity. Even where it occurs in low concentrations in a deposit, individual rocks may be ore grade due to the high monetary value of MoS2. Such rocks often result from crushing mined veinlets or stockwork, or are contained in the cutoff grade fraction of ROM. Machine segregation of rocks high in MoS2 by infrared sensors after microwaving could therefore advantageously be used to upgrade lower grade ore between Mine and Mill. This would reduce the size of the latter, and thus its CAPEX and OPEX. Such upgrading could also yield shipping ore for a distant Mill, or extend ore reserves.Barrick Gold Corp. has been supporting the development of MW/IR sulphide sorting for the past three years. The results of MW/IR sorting work on molybdenite and other (pyritic) ore samples from a variety of sources are being presented here.INTRODUCTIONThis paper looks at mechanized, i.e. machine ore sorting technologies currently available and under development, and what conditions would be needed for the potential application of such ore sorting to sulphide mining and milling. Current machine sorting involves no-contact sensing technology for rocks, and signal processing after sensing to activate airblast segregation of certain rocks, normally the smallest mass to keep compressed air costs down.The forerunner of modern sorting is probably magnetic separation, which utilizes an inherent property of certain ores to divert it into mag and non-mags fractions. Radiometric ore sorters, which have been applied successfully for decades in the pre-concentration of uranium ores (Wotruba and Riedel, 2006) initiated modern sorting. In the 90’s, sensor-based machine sorting became a viable means of increasing the overall economic recovery of a resource. This technology became driven by the availability of low cost computing equipment and the concurrent development of algorithms, and by the availability of extremely fast response sensors and air actuators, allowing the sorting equipment to run faster, dropping the cost per tonne. It has been in industrial minerals processing that rock sorting has been most widely adopted, not really surprising. Liberation occurs on a different scale than in the base metal industry. Most industrial minerals are mined from massive deposits, requiring (in the past) no upgrading. Many of these operations now run into product contamination problems, which ore sorting can solve. One illustration: in Finland, a quarry is separating limestone from dolomite at 500 tonnes / hour, with individual rocks weighing up to 15 kg. Many of these industrial minerals operations have stockpiles of earlier discarded below-quality rocks, now being reprocessed with the help of ore sorting. The economics of this are very favourable, going from zero or negative value (stockpiles can not be left when closing the mine) to full product value for at least a portion of the stockpile. This suggests that in the future the economics of overburden sorting could become attractive under the right circumstances and such treatment could well become an integral part of open pit mine development."

THE action of mercury on stressed brass to produce cracks was known before Moore, Beckinsale and Mallinson1 showed that actual season cracking did not occur spontaneously but could be induced by ammonia. These investigators studied other substances, including diphenylamine, without finding that anything other than ammonia could cause season cracking. Grimston2 reported season cracking in cartridge cases stored in wooden boxes wetted with dilute sulphuric acid pickling solution. Season cracking associated with sulphur dioxide, water vapor and air has been reported by Johnston,3 although he reported that trimethylamine and pyridine did not cause cracking. Jevons4 has ascribed season cracking of brass in certain instances to trimethylamine, "aldehyde amine," "ketone amine" and pyridine, but no experimental work was done evidently to prove this definitely. Pyridine was investigated by Morris,' who found it to have considerable cracking power. In the present investigation, the object was a qualitative evaluation of a number of representative amines with respect to their ability to cause season cracking. Thus it was desired only that an appreciable vapor pressure of each amine be obtained in order to make the test as severe as possible, without attempting to test equivalent concentrations for comparative purposes. METHODS Specimens Two types of specimen were used: I. Unannealed 70-30 brass cups formed from 0.040-in. thick sheet. Height of cup was 1 3/8 in. and diameter was 1 7/8 inches. 2. First draw pieces of caliber .50 cartridge cases in the unannealed condition (70-30 brass). The cups were representative of a thin wall and thin base specimen, whereas the draw pieces have a thick base (1/4 in.) and a thick wall (approximately 3/32 in.). Both types of specimens contained high residual stress and cracked in less than one minute in a solution of I per cent mercurous nitrate and I per cent nitric acid provided that this was preceded by a 30-sec. pickle in 40 per cent nitric acid. Specimens were prepared as follows: (I) degreased in trichlorethylene, (2) rinsed in H20, (3) pickled 5 min. in 10 per cent by volume H2SO4 (1.84 sp. gr.), (4) rinsed in H2O, and (5) dried. Amines Tested In selecting the amines, representatives of the three series of amines and one series of substituted amines were chosen. The aliphatic series was represented by the methyl and ethyl primary, secondary and tertiary amines. These are the simplest aliphatic amines. For the aromatic series, the phenyl primary, secondary and tertiary amines were selected as being the simplest. The heterocyclic series was represented by pyridine, which is a simple heterocyclic base (tertiary amine).

Instantaneous outbursts of coal and gas have occurred at various times in several working districts of Metropolitan Colliery, N.S.W.They have occurred in headings only, under both hand and mechanised conditions, and with seam gas ranging from mainly methane to nearly pure carbon dioxide. A modification of inducer shotfiring using a shear cut was introduced in 1955, and in 1961 full face firing both to a machine cut shear and off the solid was introduced. The current series of outbursts -1961 to 1963 - has been induced under these systems with full control of the time of outburst, but without prediction, and with some disappointing production features.Various aspects of current conditions and practices at Metropolitan are considered singular, such as the coarse granulometry of outburst coal, the prevalence of floor heave, the absence of strong structures at outburst sites, the possibility of outburst at any stage in pillar formation up to the last few yards, the effect of rate of advance on outburst occurrence, and the mildness of many outbursts experienced.It is concluded that inducer shotfiring is a reliable control but it suffers by comparison with outburst-free conditions, and that control by preyention would be preferable.INTRODUCTIONThe phenomenon of instantaneous outbursts of coal and gas has been described in detail previously (Hargraves, 1958). Briefly, it is a combined gas and stress hazard of deep coal mining, usually occurring in virgin work and during active face advance, when coal and seam gas burst from the face into the workings.Instantaneous outbursts have occurred sporadically at Metropolitan Colliery, N.S.W., since 1895. Proper illumination is critical to a miner?s ability to detect hazards in underground mines. Moving hazards are often located in the miner?s peripheral field-of-view, while slip/trip/fall hazards are often located in the forward field-of-view. The objective of the research described in this paper was to determine if light-emitting diodes (LEDs) improve visual performance as compared to traditional incandescent (INC) cap lamps. The research presented focuses on comparative studies of a National Institute for Occupational Safety and Health (NIOSH) prototype LED, a commercial LED, and an INC camp lamp. Thirty subjects participated in these studies; ten subjects in each of the age groups: 18 to 25 years, 40 to 50 years, and 51+ years. Visual performance was quantified by the subjects? speed and accuracy in detecting hazards, while visual performance for disability glare was quantified by the use of contrast sensitivity tests. Results suggest that LEDs with a visible spectrum containing a higher concentration of the shorter wavelengths can enable visual performance improvements with respect to disability glare, the detection of moving hazards in the peripheral field-of-view, and the detection of floor hazards in the forward field-of-view. The NIOSH prototype LED cap lamp provided the best visual performance improvements for the older age groups in every test. Two different techniques were wed to make measurements of the absolute value of electromagnetic noise in an operating hardrock mine, Grace Mine, located near Morgantown, Pennsylvania. Diesel-powered haulage equipment is used in this mine, and the electromagnetic noise environment it creates was measured to see how it differs from the environment created by electric-powered haulage equipment. One technique measures noise over the entire electromagnetic spectrum of interest for brief time periods. Data are recorded using broadband analog magnetic tape and are later transformed to give spectral plots. The other technique records noise amplitudes at several discrete frequencies for a sufficient amount of time to provide amplitude probability distributions. The specific measured results are given in a number of spectral plots and in amplitude probability distribution plots.
