"7.1. INTRODUCTIONThis chapter addresses the joint venture and examines a number of general concepts of the joint venture relationship. Chapter 8 looks at some specific concepts related to the provisions of a joint venture agreement, which are equally applicable to a shareholders’ agreement or other contractual relationship. The term “joint venture” is used because the author is a common law solicitor (a matter of convenience for which apologies are offered to civil law readers), but it should be noted that, in many aspects, the legal structure of an entity is irrelevant. It is the relationship of the parties, be they venturers or shareholders, that is important, and the areas of concern are surprisingly similar (except for terminology).The details of the joint venture relationship and agreement could fill several books. Accordingly, this chapter and the next focus on selected topics that appear to have caused problems or confusion or to be the basis for disputes. And remember that, although the following discussion is in the context of a joint venture, many of the comments apply, either directly or indirectly, to virtually any common undertaking and the agreement defining it.For interest’s sake, this chapter starts with a summary of some of the earlier types of agreements and arrangements that have evolved into the joint venture agreement of today in Canada, the philosophy of their format, and the reasons for their demise.7.2. EVOLUTION OF THE CANADIAN JOINT VENTUREThe Early DaysMuch of the opening up of Canada’s north is due to exploration for and development of mines. The early discoverers were relatively free to roam and explore at will and, if they were fortunate enough to find something, they dealt with the appropriate government to acquire exploitation rights. The early interests lay in gold or silver. Workings were small, usually worked by the owner alone or with only a couple of helpers to extract the native gold or silver. If the owner wanted to move on, he could sell his property outright and use his stake to look elsewhere.As logging and mining camps were opened, the development of better roads and railways made access easier. Entrepreneurs saw the opportunity to make money by assembling large parcels of land and working them as a single operation. In order to do this, some owners who were not ready to sell out had to be convinced to do so through more attractive offers"

Adsorption of guar gum was investigated on model minerals typically found in water-insoluble slimes of potash ores. The ionic strength of the adsorption mixtures was varied from distilled water to saturated NaC1 and KC1. The tests were also performed using a saturated brine. The adsorption density of guar gum on illite, dolomite, and kaolinite was found to be not only a function of total ionic strength but also of the type of electrolyte present in solution. Generally, the adsorption of the polymer on the clay minerals was higher in KC1 solutions than in NaCI, but the differences gradually disappeared when the electrolyte concentration approached saturation. The results were analyzed in terms of chaotropic (K ) or kosmotropic (Na') properties of background counter-ions and their different behaviors at the hydrated mineral-water interface. Guar gum adsorption on dolomite was related to the presence of calcium and magnesium sites on the mineral surface, and to the cis-configuration of OH groups of mannose units. Based on viscosity measurements, it was suggested that guar gum macromolecules form entanglements in NaCI solutions (and distilled water), but individual molecules exist in KC1 solutions thus creating different modes of adsorption of guar gum from concentrated NaCl and KCl solutions.

"Audrey Resources' Mobrun Mine is located in Dufresnoy Township some 30 km to the northeast of Rouyn-Noranda. The Mobrun tine deposits consist of two major massive sulphide lenses; the newly discovered 1100 lens located 450 m south of the Main zone, and one ntellite lens, the 850-870-930 complex.The 1100 lens is hosted in a large pyroclastic unit bounded to the mouth by rhyolite and andesite flows and by a thick rhyolite unit to the art h. stratigraphically belon the three lenses. It consists of approximately 15 Mt of massive sulphide, of which 10.4 Mt are of economic ade. The Main lens lies comformably above thick rhyolite flows, ecciated and pyritized by the sulphide horizon, and is overlain by ttercalated ash tuffs and rhyolites which host the over-lying satellite ns. The Main lens consists of 3,3 Mt of massive sulphide, of which 523 000 tgrade0.80% Cu, 2.44%Zn,30.19 g/t Ag, and2.2 g/t Au he richer satellite lens (180 000 t) is part of the same volcanic stem and resulted from a resurgence of hydrothermal activity. ructure played a role in the final geometry of the deposits but did not eatly affect the volcanogenic and stratabound nature of the lens. Total production since the start of operations in 1985 amounts to 58 000 t and is restricted to the Main lens. The hot deformation behavior of Pure Mg and Mg-0.29Ce alloy were studied by isothermal hot compression tests in the temperature range of 250 - 500°C and strain rate range of 10-3 - 102 s-1 in a computer-controlled 50kN servo hydraulic universal testing machine (UTM). The results show that the flow stress of Mg pure and Mg-0.29Ce alloy increases with strain rate and decreases after a peak value, indicating dynamic recovery and recrystallization. Process efficiency was increased by nearly 10 to 12% by addition of Ce in Mg. Mg pure exhibits instability zones between 250-275°C at 10 ? 102 s-1 and 400¬500°C at 101 ? 102 s-1 temperatures and strain rates respectively, rest is the safe deformation zone. Wherein, Mg-0.29 Ce exhibits two low efficiency zones from 250 ? 300°C at 10-2? 10° s-1, 400 ? 500°C at 101 ? 102s-1 and high efficiency zone at 450 ? 500°C at 10-3? 10-1s-1. 4D process maps were generated for the above said alloys which illustrate contours of power dissipation and instability in the 3D space of strain rate, temperature and strain.

"2.1. General Considerations and Properties2.1.1. IntroductionOur present knowledge of the platinum-group elements (POE) is extensive, the reason being two-fold. The elements have many uses and, moreover, they exhibit extremely varied chemical behaviour, depending on their state of oxidation and chemical environment. The present chapter reviews a selected body of material which is of particular relevance to mineralogy and geochemistry.Comprehensive treatises on the POE include those by Mellor (1956-1957), Gmelin (1938-1957) and Pascal (1958). The inorganic chemistry, particularly coordination chemistry, has been dealt with in works by Griffith (1967), Hartley (1973) and Livingstone (1975), and the analytical chemistry by Walsh and Hausman (1963), Beamish (1966) and Beamish and Van Loon (1972, 1977). Darling (1973) and Savitsky (1978) have reviewed the metallurgical properties and applications of the metals. Goldberg and Helper (1968) have reviewed the thermochemistry and oxidation potentials of POE systems, and Wagman et at. (1969) have also provided selected values of their thermodynamic properties. The geochemistry of the POE has been reviewed by Yushko-Zakharova et at. (1967), Cousins (1973), Cabri (1974), and Naldrett and Duke (1980).Platinum was used briefly as a coinage metal in ImperialRussia. Otherwise, the principal early use for platinum and its alloys was in the fabrication of chemically resistant apparatus. Subsequently, a large part of platinum production was utilized for catalysts in the sulphuric acid and ammonia industries. Platinum has been replaced by vanadium pentoxide in the manufacture of sulphuric acid, but, in recent times, catalytic upgrading of petroleum and emission control systems for automobiles have opened further huge markets for the metal. All of the POE find uses either as reagents or catalysts in the synthesis of organic compounds, e.g., in the Wacker process, which uses palladium chloride to catalyze the production of acetaldehyde from ethylene. There are, of course, a large number of specialized uses for the elements, particularly in alloys, temperature measurement devices, cancer therapy and so on."

The Sigma-Lamaque Complex is considered a lode-gold deposit characterized by narrow vein structures, which have been mined historically by underground methods. In addition to the narrow vertical structures, mining also took place on horizontal veins, ?North Dipper? veins and dykes mineralized with sub-horizontal veins and stringers. Over the 60 + years of production, mining took place to a depth of 1.8 km. The upper portion of the deposit was considered all but exhausted, when viewed from an underground mining perspective. The year 1998 is considered a turning point for the Complex when a small open pit was mined at Sigma. The resource evaluation methods used underground were applied to surface mining, which allowed small pits to be mined. The resource evaluation method considered only the narrow vertical structures and was not well adapted to open pit mining. As a consequence, resources were consistently under evaluated. It became clear that a new geological approach was necessary to more accurately define resources (i.e., what was being mined). In order to integrate all characteristics (geometry, mechanics and chronology) of this complex lode-gold deposit, a new geological model was proposed. Due to this new approach, dating to February 2000 and updated in December 2000, the reserves evaluated in the first 180 meters now stand at 15 million tonnes @ 2.61 g/t Au (1,265,350 oz). Those reserves cover an east-west corridor extending 1,500 m by 750 m.

"The Kidd Creek copper smelter started operation in June 1981 using the Mitsubishi Continuous Smelting Process. A steady increase in plant production rates has been demonstrated, and the annual tonnage of concentrate smelted is now double the original design rate. This paper summarizes recent modifications made to increase concentrate feed rates, increase on-line time, reduce copper losses and control the impurity level in anode copper. It includes improvements made to furnace design, improvements to reduce downtime f or boiler cleaning, and improvements made to the acid plant to allow handling of increased gas flowrates and higher gas strengths while maintaining low acid plant emission rates. IntroductionThe Kidd Creek Division of Fal conbridge Limited operates a base-metal mining and metallurgical complex, located in Timmins, Ontario, which includes an underground mine, a 13 500 tonne/day concentrator, a 130000 tonne/year zinc plant and a copper smelter and refinery, The copper smelter and refinery were commissioned in 1981, with an installed capacity of 59 000 tonnes/ year of cathode. The smelter, utilizing the continuous smelting technology of the Mitsubishi Process, has subsequently been expanded in production capacity, and in 1991 produced 113 500 tonnes of blister copper The capacity of the refinery, which uses Onahama No. 3 tankhouse technology, has been increased to 96 000 tonnes/year of cathode. The capacity increase at the smelter has been realized through the input of additional oxygen to both the smelting and converting furnaces, without increasing the process off-gas flowrate through the associated waste heat boilers.In this paper, a brief review of smelter operation and modifications in the period 1982 to 1987 is presented, together with a more detailed discussion of operation during 1988 to 1991, and a discussion of future planned improvements."

The Right Hon. Viscount Long, late Secretary of State for the Colonies, in his inaugural address to the Empire Mining and Metallurgical Congress in London last June said: "I am more and more? convinced by every day experience that the development and strengthening of the Empire must depend upon individual effort and action, and that it is useless to look to Governments for assistance." I am inclined to agree with Viscount Long, to this extent, that the initiative must come from individual effort, but Government assistance is necessary to put the results of that effort and action into effect. It is perhaps fitting at a gathering of this kind to remind ourselves of the part the mining industry has played, not only in the development of the British Empire but in the world at large, in the promotion of modern civilization. We do know that all human progress has been coincident with the early discoveries in the recovery and treatment of metals and, as the centuries have passed, the human race has become more and more dependent on these sciences as factors of all progress, and no nation has ever become powerful and prosperous that has lacked adequate mineral supplies, or having these, has allowed them to be exploited by other nations.

Process-oriented experiments on the use of coal as an adsorbent for certain soluble components of sewage are described. The capacity of Canadian coals for these components was less than 0.1 per cent by weight for the highest concentration at which these components could be expected to be found in domestic sewage. This is much less than values reported in the past. A pronounced selectivity between components was observed. Experiments on bacteria removal in beds of coal, regeneration of spent coal to restore adsorption capacity and COD contributions of coal are reported in the paper. The simple application of coal as an adsorbent does not seem promising.

Non-ferrous metals find their applications in smartphones, tablets and computers. These materials with their particular properties are the basis of our modern life. SMS group is well prepared for this huge market and for growing future challenges. A large contribution here is the new joint venture PolyMet Solutions that was founded by SMS group and Mettop, an Austrian engineering company, with the objective to develop new technical solutions for the primary copper production lines as well as for non-ferrous metals starting with the primary smelting of concentrate and ending with the electrolysis. PolyMet Solutions provides the process know-how whereas SMS group supplies the plants and equipment and Mettop the key components. SMS group and Mettop also cooperate in the field of tankhouse technology. Together with Montanwerke Brixlegg AG, Mettop has developed together with a parallel flow technology (METTOP-BRX Technology), allowing a current efficiency of above 98 % at a current density of 420 A/m², which is a milestone in copper electrolysis. For the secondary copper production route, SMS group and PolyMet Solutions developed an innovative refining furnace (PolyRefine) for the smelting and refining of copper scrap. The refined copper is directly charged to the Contirod line to produce copper rods and wires. The innovative cooling solutions of SMS and PolyMet Solutions come into play where furnaces have to stand the highest loads and stresses, for instance in areas of very high temperatures or temperature fluctuations, aggressive exhaust gases and slags, or at critical spots such as taphole areas. Custom-tailored cooling systems for furnace vessels make sure varying loads are compensated in a targeted and effective manner. The solutions include air cooling, spray cooling, cooling technologies with integrated copper elements such as CFM (Composite Furnace Modular) cooling systems, plate and finger coolers. The major innovation in the field of furnace cooling is the ILTEC (Ionic Liquid Cooling) Technology which paves the way for increased plant safety. This revolutionary, patented cooling technology is jointly marketed by Mettop and SMS group. It permits water-free cooling to be implemented and thus makes operation safe wherever it is applied. INTRODUCTION Non-ferrous metals or NF metals are changing the world. There is no modern industrial sector that can do without these valuable metals. Non-ferrous metals find their applications in smartphones, tablets and computers. These materials with their particular properties are the basis of our modern life. The importance of the non-ferrous metals market is reflected by two figures. In 2018, the production of non-ferrous metals was worth more than 237 billion Euros. This contrasts with 255 billion Euros of the value of iron and ferro- alloy production in the same year (International Organizing Comittee for the World Mining Congresses, 2018). "Afton Mines Ltd. (N.P.L.) operates an 8500-tpd open-pit copper-gold mine near Kamloops, R.C. The pit is currently 480 feet deep and will reach an ultimate depth of 800 feet. The east, south and west walls of the pit are composed of Triassic andesites (Nicola Volcanic Formation) and contemporaneous sub-volcanic intrusions of micro-syenite, microdiorite, diorite and picrite-basalt (Iron Mask Pluton). The north wall of the pit consists of Tertiary sandstones, shales and mudstones (Tranquille formation) and dacitic dykes, sills, flows and tuff s (Kamloops Volcanic Formation).The Afton copper-gold orebody (30 million tons of open-pit ore with a grade of 1.0 per cent copper, 0.016 oz/ton gold and 0.12 oz/ton silver) occurs within the Triassic Iron Mask Pluton adjacent to its faulted contact with Tertiary rocks. The Triassic-Tertiary contact is a complex fault system dipping 65 degrees southward and causing the Triassic rocks to overlie the Tertiary rocks. The detailed trace of this contact is very intricate due to the mutual interference of three principal fault systems.The dominant geological structures in both Triassic and Tertiary rocks are faults striking WNW and dipping 65 degrees southward, i.e. sub-parallel to the orebody (strike faults). Cross faults and oblique faults are abundant and highly significant in some sectors of the pit. The Tertiary sedimentary rocks show an early series of northwesterly plunging folds deformed by a later series of northeasterly striking folds. Major lithological and structural boundaries divide the pit into 8 structural domain s within which the pitwall slope stability is controlled by the local geological structures and lithology.Assay data from production blasthole samples and exploration diamond drillhole samples show a log-normal frequency distribution, with a fairly low relative variance. Variograms computed from production blasthole samples show good continuity with elliptical horizontal zones of influence which are truncated by the major faults that bound the ore zone."

In 2010, the foreseen increase of copper grade in feed concentrate at the Horne Smelter was a significant challenge to maintain a steady copper flow throughout the process. The Horne Smelter process includes a Noranda Reactor, a Noranda Converter, pyro refining vessels and anode furnaces. Of the many challenges involved, improving the single casting wheel performance was one of the key topics. Its reliability had to be improved to meet the new production objectives, as anode copper production was to increase from 170 000 to 225 000 tonnes/year. A multidisciplinary team was dedicated to improve the casting wheel availability. The improvement project allowed pinpointing failure modes and reviewing operational and maintenance practices. The common understanding developed by the team allowed improving small components with a high gain-to-effort ratio. The project allowed reaching operational targets without any significant investment. INTRODUCTION In operation since 1927, the Horne Smelter, located in Rouyn-Noranda, in Quebec, has undergone several technological changes since its original construction. Built to smelt the Horne mine concentrates, the smelter also accepted some local custom feeds from the first years of operation. When the Horne mines stopped production in 1976, the plant became a 100% custom smelter. With the development of the Noranda Reactor (1973) and Noranda Converter (1997), the Horne smelter increased its productivity and improved its environmental performance. Continuous improvement of the Horne process allowed maintaining a high level of flexibility in the operation of the smelter, while improving its overall capacity.

"Aluminium A206 (AlCu4) is one of the strongest aluminium casting alloys with tensile properties approaching those of ferritic ductile iron. If the specification on the silicon content (< 0.05%) is easy to achieve during alloy ingot production, it is not the case in a foundry, where returns are used which are not perfectly cleaned from the silicate containing molding sand (Olivine). In alloy A206, the Si content is controlled in order to avoid the formation of a low melting point intermetallic phase (such as phase Q Al5Cu2Si6Mg2); these phases will melt during the solutionizing heat treatment to which alloy A206 must be subjected to develop its outstanding mechanical properties. This incipient melting may deteriorate the mechanical properties of Alloy A206 if the solutionizing treatment is applied at the standard temperature of 530°C.In the present study, a lower temperature solutionizing (520°C) was applied to a high Si content 206 alloy in order to reduce or eliminate the possible incipient melting. This was carried out on a complex shape industrial casting weighing 14 kg (31 lb) and 560x410x250 mm (22x16x10”) in size poured in aluminum 206 with a high silicon content (0.22% vs 0.05% max for alloy A206). Twenty ASTM E8 subsize tensile specimens were excised from two locations in the casting in order to compare the tensile properties for the two solutionizing temperature used (530 and 520°C). Optical and SEM microscopy allowed to investigate the causes of the differences in the properties observed between the 2 zones of the casting studied for 3 different heat treatments. INTRODUCTIONIn spite of their “textbook” outstanding mechanical properties (Up to twice the strength and elongation of the widely used A356 alloy), aluminum-copper alloys of the 2xx series are seldom used because of their propensity for hot tearing [Li, 2011], the segregation of copper [Cho, 2003], and their sensitivity to stress corrosion cracking [Jean, 2009, p. 113)]. Also, because of their wide freezing range and high thermal conductivity, a wide mushy zone makes feeding difficult, unless strong temperature gradients are created by liberal use of chills and risers in the critical zones of the part. Because they are prone to hot tearing, grain refining of Al-Cu alloys is particularly important, titanium playing a major role in the process [Sigworth, 2003]; grain refining has also been shown to be beneficial to fatigue strength [Jean, 2009, p. 103]. The practical basis of foundry practices pertaining to these alloys is outlined in an AFS webinar [Weiss, 2014]."

The design of the long-hole sublevel mining method was originally based on the traditional assumption that the principal load was due to the weight of the overlying rock, and that the horizontal stresses are equal to one-third of the vertical stress. However, as mining progressed, the virgin lateral stress was found to be equal to or greater than the vertical stress. The virgin stress in the rock mass is not uniform throughout the folded orebody and adjacent strata. From detailed investigations, three basic patterns of virgin stress in ore panels have been inferred: uniform, bent and twisted. Stresses induced by stoping are up to three times greater than original stresses in the rock mass; they cause heavy ground conditions and make extraction of ore difficult. In the last ten years, the original mining system has been modified several times in order to destress the ground and improve the extraction of ore.

In today&apos;s evolving and globalized world, mining companies are being pressured to move beyond compliance towards long-term sustainability and sustainable development. Companies are expected to "engage" with communities and measure the success of these engagements without a clear understanding of "how" to do this. This move, away from "Corporate" Social Responsibility (CSR) and compliance, develops more of a focus on "Community" Social Responsibility and sustainability. This shift in focus leads to the development of world-class projects that provide sustainable development for people, reduces the incidence of costly delays, and promotes good global citizenship for corporations. The process of "engaging" communities in mining project design and development leads to a stronger license to operate and sustainable development. To create this mutually beneficial relationship between communities and companies, communities must be "engaged" in the mining process as early as possible, preferably during the exploration or the concept phases. How to create this "engagement" remains elusive. How to measure the progress of this engagement is also problematic. The quantitative and qualitative metrics needed to measure both positive and negative impacts of the mining and community relationship will be discussed.
