INTRODUCTION From the lender's point of view, the greatest period of risk in a project financing occurs during the construction phase. Therefore, most projects are supported during this phase by completion guarantees supplied by some credit-worthy entity; for example, the project sponsors in the case of a joint venture, such as that of W.R. Grace, Hanna Mining, and Liberty Capital; or by a strong contract with a utility or foreign importer/investor, such as the way North American Coal Corporation has structured many of its transactions. THE PROJECT LOAN REQUEST A project financing is a more complex form of term loan than one using an ongoing corporation's balance sheet as a credit base and, therefore, a potential lender will subject the loan request to a more rigorous analysis. To support this effort, the financial institution will require a more detailed information memorandum to evaluate the credit and technical risks of a project - especially since much of the necessary information is not otherwise available. (See also Gibbs and Sroka paper above in this Chapter) A well-prepared information memorandum will impress prospective lenders with the planning ability and general competence of management. Also, the process of preparing the memorandum will help management understand the true extent of the opportunities and limitations of its venture. Appendix A outlines the topics which comprise a complete information memorandum for a loan request. Of some interest to those seeking to sell a currently-operating mining venture, a similar information memorandum should be prepared i.e., covering the same topics discussed here, for the investment banker to use with potential purchasers. For that purpose, though, one might not want to prepare quite as much detail as for a lender. Appendix B outlines the elements of a reserve evaluation and feasibility study, often called the "Bankable Document." Usually, these studies are prepared by independent engineering consultants for use by potential borrowers and sellers. (Potential purchasers will often contract for a similar study for their use in evaluating an acquisition.) ELEMENTS OF A LOAN INFORMATION MEMORANDUM 1. Outline: The information memorandum should begin with a one-page outline covering such topics as: a. The borrower's name, address, and phone number. b. Principal contact at the borrower. c. Amount of the proposed financing. d. Desired pricing and structure of the proposed financing. This should include a description of the amount and source of equity in the proposed financing. e. Use of the proceeds and timing. 2. Summary: The most important information contained in the memorandum should be summarized in two pages. Note - If the borrower is a recently-formed single-purpose company, then elements 3, 4, and 5 will apply to the guarantors of completion and to the project sponsors. 3. The Borrower: This section is a brief biography of the borrower including such topics as date and state of incorporation, founder(s), lines of business, etc. 4. Capitalization: The borrower's current debt and equity position, including leases and trade debt, with amounts, terms, names, and addresses enumerated. Equity owners, and percentage ownership, should be identified. 5. Historical Financial Statements: If available, a minimum of five year's worth of complete historical financial statements

TOENGES (author's reply)— The coal in the Matanuska field ranges from high volatile "B" bituminus to anthracite. It all depends on which direction you go in the Matanuska field. C. P. HEINER—Is it a large reserve. A. L. TOENGES—That is what we hope. That is what we are trying to find out. B. W. DYER*—In those strip beds, I wonder how far back the coal would weather ? A. L. TOENGES—I never noticed particularly. B. W. DYER—The weathering does not extend back like it does in this country ? A. L. TOENGES—No, it does not. B. W. DYER—Is that due to the freezing ? A. L. TOENGES—Probably so. B. W. DYER—In this country, you would expect nothing but weathered coal. R. H. SWALLOW*—Along that line, you mentioned some of the seams were on fire. For several years the Fansteel Products Co. has been engaged in e production and development of various of the rarer metals. It is at present engaged in the commercial production of tantalum, tungsten, and molybdenum in a very high state of purity. The information contained in this paper is partly a general compilation from various sources and partly information obtained as a result of recent years of work in the laboratory of this company. Tantalum, tungsten, and molybdenum form a group peculiar to themselves among the commercially available metals. Their very high melting points (tantalum 2770' C., tungsten 3350' C., and molybdenum 2550" C.) set them apart so far as the metallurgical processes for their production are concerned. Further, when properly prepared and treated they will stand a somewhat unusual degree of cold work, that is work below the temperature at which marked crystal growth takes place. Such cold-worked metal may show a high tensile strength; tantalum to 130,000 lb. per sq. in., tungsten to 490,000 lb., and molybdenum to 260,000 lb., in the form of fine wire. In physical appearance, these metals are not unlike some steels; they may be better described by saying that polished tantalum somewhat resembles lead; polished tungsten, iron; and polished molybdenum, nickel. The polished surfaces of all three remain untarnished in ordinary air. Air containing corrosion-producing impurities will, in general, show molybdenum the least resistant to corrosion and tantalum the most resistant. Molybdenum has, however, a high degree of resistance to corrosion by hydrochloric acid, a property that should render it of commercial interest. On the other hand, it is markedly attacked by some of the weaker organic acids. The three metals oxidize rapidly when heated at or above a dull red in air. This feature limits their use in many applications where their high melting point and strength make them appear usable. Tungsten and molybdenum, at red heat, are quite inert to hydrogen and nitrogen; while tantalum has a rather remarkable affinity for all the ordinary gases, which results in its becoming embrittled in their presence. This

REINARTZ, Middletown, Ohio.-Mr. Carl Peirce has presented a valuable paper on a subject that has been very widely discussed in recent years, especially since the demand for high finish, deep drawing and other grades of sheet steel in the lower carbon ranges has become an important factor in the steel business. Steel of this analysis has been produced for many years, but the product for which it was made did not require the extra care in the steel plant that it does today. It must now be worked down into thin sheets for special purposes and undergo many severe finishing processes both in the steel mill and in the fabricating plants. Mr. Peirce's paper has outlined in a concise and logical manner the steps which must be taken in manufacturing such steels. The secret of successs is attention to details of well known steel practices. I agree with him that quality steels of this class cannot normally be made out of inferior raw materials. Scrap should be clean and if possible not too variable in analysis. Galvanized scrap or babbit are particularly objectionable. Scrap should be in such physical condition that undue delays are not encountered in charging the furnace. Limestone should preferably contain over 95 per cent. available calcium carbonate, and be free from clay or other foreign substances. Almost universal practice shows that 10 per cent. limestone is required for proper slag volumes to protect the metal from over oxidation. The use of 8 per cent. limestone makes the operation less fool-proof.

In 1936 the Institute established the Anthony F. Lucas Gold Medal, which will be awarded from time to time "for distinguished achievement in improving the technique and practice of finding and producing petroleum." These awards will be sponsored by the Petroleum Division. Captain Lucas was a pioneer in the oil industry, one of the early wildcatters and a leading mining and petroleum engineer. He was famous as the discoverer of Spindletop. He became a member of the Institute in 1895 and in 1913 was the first Chairman of the Petroleum and Gas Committee of the Institute, the forerunner of the present Petroleum Division. He also headed the Committee in 1914, 1917 and 1918. The first medal was presented at the annual dinner in 1937, Feb. 17, to J. Edgar Pew. One of the principal uses of polarized light in metallurgy is to show the granular structure of metals by contrasting reflections. This use is confined largely to anisotropic metals, such as beryllium, tin, magnesium, and the like.1 Recently, Hone and Pearson2 have extended the use of polarized light to include the isotropic metal aluminum. This was made possible by the formation of an anodic film that was optically anisotropic and that had a fixed and reproducible structural relationship to the grains in the substrata. With their method, it was possible to indicate localized textures in annealed aluminum sheet. In the course of an investigation of plastic deformation at the National Bureau of Standards, it was found that the isotropic single phase alloy Monel could be made optically anisotropic by treatment with the usual Monel contrast etchant. Experiments soon showed that dif- , ferences in orientation could be detected easily. Previous investigations involving the use of polarized light have been restricted to annealed metals. In this paper it will be shown that inhomo-geneous plastic deformation which results in lattice bending and development of deformation bands, experienced by individual grains in polycrystalline Monel, is revealed in the microstruc-ture. This interpretation of the micro-structure was confirmed by a study of slip lines formed after prior plastic strain. Materials and Procedure The material used was Monel, the chemical composition of which was C—0.17 pet, Mn—1.28 pet, Fe—1.61 pet, S—0.009 pet, Si—0.17 pet, Cu— 30.70 pet, Ni—66.04 pet. The material was divided into 2 lots which were treated as follows: Lot A was heated at 1700°F for 3 hr to produce a fully annealed, coarse grained structure. Lot B was heated at 1400°F for 1 hr to produce a close approximation of a fully annealed structure without appreciable increase in the grain size of the original material. After each of these heat treatments the material was cooled in air. Samples for metallographic examination were cut from tensile and compression test specimens and were prepared by grinding on lead-tin laps, followed by electrolytic polishing, † Etching and the development of ridges were avoided by keeping the voltage above 3.8 and by preventing contamination of the polishing solution with water. Monel, when polished and treated with most etchants, is optically isotropic. However, when given a light etch for about 4 sec with the Monel contrast solution the surface of the metal becomes optically active. The microstructure when observed under crossed nicols* appears different from that viewed by ordinary light. This is shown by a comparison of micrographs made of the same area of a plastically deformed specimen using polarized light (Fig la) and white light (Fig 16). If Monel, which has been lightly treated with the contrast etchant, is slightly deformed by compression, rectangular figures are apparent over the specimen. However, within too short a period to be photographed, these rectangles become circular, probably because of surface tension effects within the etched film. The two observations,

The first use of graphite is lost in the mists of time. It was used by primitive man to make drawings on the walls of caves and by the Egyptians to decorate pottery. As early as 1400 A.D. graphite crucibles were being made in the Haffnerzell district of Bavaria. Through the Middle Ages graphite was confused with other minerals, especially galena and molybdenite. Two common names that are still used for the mineral are "Plumbago," meaning leadlike, and "Black Lead." The latter name implied that graphite is either composed of lead or at least contains a large percentage of it. Gessner is credited with having recognized it as a separate mineral in 1565, but its composition was not determined until 1779, when Scheele demonstrated that graphite oxidized to carbon dioxide, thus proving its carbon constitution. In 1789, Werner named it "graphite" from the Greek word "graphein," meaning to write. The United States has long relied on foreign countries for its graphite supplies. This reliance has been due more to the lack of suitable domestic graphites than to any particular preference for buying minerals overseas. Ceylon (now Sri Lanka) graphites were imported as early as 1820, and Madagascar graphites have been imported since the properties on that island were opened up about a hundred years later. Mexico has long supplied the United States with most of its requirements for amorphous graphite. Physical Properties and Classification Graphite is found in laminated, flaky aggregates disseminated in schistose rocks. It also occurs in veins and exhibits a foliated or fibrous structure. Graphite is a black lustrous mineral that crystallizes in the hexagonal system, with rhombohedral symmetry. The crystals have tabular form and are six-sided; the faces are commonly striated. The flakes have perfect basal cleavage and are opaque. When well crystallized, the flakes have a black metallic luster while the amorphous material is black and earthy, with a microcrystalline compactness. The flakes feel greasy. Graphite is an excellent conductor of heat and electricity. It melts at approximately 3500°C and sublimes at about 4500°C. It is combustible in the presence of oxygen between 620° and 670°C, but is stable and chemically inert at ordinary temperatures.

Giving the keynote address in the final session of a conference dealing with closely related topics has a disadvantage in that much of what can be said has been said. It also has an advantage, however, because it presents the speaker with the opportunity to integrate and analyse the material presented by the various speakers. I would like to look to the near future in Australia and the United States of America, to the risks, problem areas, and changes of a rapidly evolving post-industrial era-an era we are beginning to experience where industry no longer 'calls the tune'. We miners have been quick to point out and emphasize, that ours is a 'high-risk' industry in the world of business and commerce. Yet, clearly those who have survived, and been successful, have learned to anticipate and cope with risk and change. This ability has been a 'distinguishing feature of the industry's leaders who, in market studies and commodity selection, exploration and development, mine planning, metallurgical pro- cessing, and general administration and operation 1. identify areas-of risk or inevitable change, 2. analyse, test and quantify those factors of risk or change, and 3. design methods, systems, equipment to eliminate, moderate, or control or economically compensate for predicted risks or changes.

PooR results in coal washing and in ore concentration are sometimes attributed to the shape of the particles in the feed. It is well known that the shape of a particle influences its rate of fall in water. This is evidenced by the value of the constant C in the Rittinger equation for the velocity V of settling in water, V = C-D(d- z ), where C has the following values: 2.73 for roundish grains, 2.37 for long grains and 1.92 for flat grains. This report, which is based upon data obtained during the course of coal-washing investigations conducted by the U. S. Bureau of Mines in cooperation with the College of Mines of the University of Washington, gives the results of a method or procedure of screening in which the particles are separated into three shapes and shows the deportment of these shapes when coal is treated on a coal-washing table. The method consisted in first screening the coal with Tyler standard square-hole sieves, followed by screening tests of each of these products with screens of rectangular opening. For this purpose Tyler "Ton-Cap" screens were used; each square-hole product was subsequently sized with two Ton-Cap sieves so selected that their shortest dimensions were approximately 75 and 50 per cent., respectively, of the opening of the square-mesh sieves. For example: A product which is through 8 mesh (0.093 in.) and on 10 mesh (0.065 in.) is screened on slotted sieves which have openings 75 and 50 per cent. of the 0.065-in. opening in one direction and an opening of not less than 0.065 in. in the other direction. For convenience in discussion, the particles retained on the first slotted screen are termed "cubical"; those retained on the second slotted screen are termed "prismatic" and those passing the second screen are called "flat." (See Fig. 1.) The square-mesh screens separate particles according to two dimensions, length and breadth; the slotted screens divide them further according to the third dimension, or thickness. Prismatic particles have a mass of about two-thirds, and flat particles of about one-half, that of cubical particles of the same square-mesh size. The screen-

COKE and by-products have prime importance in the war program. The past year was marked by the construction of new and the rehabilitation of old by-product and beehive ovens and by the increase of production from existing plants to practically 100 per cent capacity. W. T. Brown's paper, "Plan to Improve Blast-Furnace Coke," presented at the Fuels Conference in St. Louis, Sept. 30, showed how the blending of low- and high-volatile coal improved the physical properties of coke and that improvement of the quality and uniformity of coke favored an increase of blast-furnace capacity- a vital need in the war program. Others in the industry have likewise increased production of coke or recovery of by- products by various innovations or changes in operation. Recognition of the value of pooling these developments for the benefit of the entire industry led to organization of a survey of coke- oven plants and blast furnaces by the Bureau of Mines in co-operation with the Solid Fuels Co-ordinator with a view to improving metallurgical coke production and recovery of by-products. This survey is being conducted with the help of an advisory committee consisting of representatives of the Bureau of Mines, the Solid Fuels Co-ordinator, the War Production Board, and the blast-furnace, coke-oven, and coal-mining industries.

THE Berlin gold quartz mine is situated in Nye county, Nevada, on the west flank of the Shoshone range, about 40 miles south and 30 miles west from the town of Austin, the county-seat of Lander county. The distance from Austin is about 60 miles by stage-road. The outcrop of the vein, at the top of the incline-shaft, is situated just at the base of the mountain proper, almost exactly at the intersection of the mountain-side with the gravelly bench that slopes for about three-quarters of a mile to the flatter sage-brush plain, or desert valley, below. The -vein itself consists almost entirely of quartz, with perhaps 2 per cent. of sulphide of iron, copper, lead, zinc and antimony, and perhaps a trace of some of the compounds of tellurium with gold and silver, although none of the latter have been as yet positively identified. The relative proportion, by weight, of silver and gold in the ores, varies in different parts of the vein, from 12 silver for 1 of gold, to 7 silver for 1 of gold. The quartz vein-filling is usually frozen fast to the walls, and is very hard and compact, seldom showing the friable, fissured, or shelly structure often to be found in quartz veins. Comparatively little evidence of relative motion of one wall of the vein upon the other is to be found-a fact indicating that during the formation of the vein, and prior to the extensive movements herein described, little disturbance had taken place. No evidence whatever of metasomatic origin has been observed. On the other hand, occasional occurrences of comby structure, in which the axes of the quartz crystals are at right angles to the plane of the vein, rather indicate deposition from solution in a pre-existing fissure. Discussion of the paper of Charles R. Keyes, presented at the Spokane meeting. Bulletin o. 34, October, 1909, pp. 867 to 903. A. M. STRONG, Bishop, Cal: (communication to the Secretary*) The paper of Mr. Keyes gives us the most complete account of the geology of the borax-deposits in the Death Valley region that has yet been published, and is a valuable addition to the geological literature of a very interesting though little-known territory. During the past ten years I have been over much of the northern part of the country described by Mr. Keyes and the region immediately north of it. Mr. Keyes seems to give the impression that Furnace creek is the northern end of these borate-bearing deposits, but such is not the case. Of the seven principal marsh-deposits which for years furnished the greater part of the borax supply in the manner described by him, four are north of the boundary-line as given on his map. The entire territory immediately east of the Sierra Nevada is composed of a series of sinks, each with a well-defined drainage-area.. Of these, Death valley is the deepest, and its drainage-area one of the greatest. The section given in the paper is typical of any line drawn eastward from the Sierra Nevada. At the lowest point of each of these sinks is a marsh, which, in times of heavy rain-fall in the mountains, is converted into a lake. These marshes always contain borax, which is now considered to have been derived from the washing of the Tertiary lake-beds in the surrounding mountains, of which they form a considerable part. Additional territory which I have studied shows that the boundaries given on Mr. Keyes's map should be considerably extended to the north. Just how far these borate-beds extend I am not prepared to say. J. E. Spurr says of them : 1

The basic mechanism of fatigue is studied in annealed a brass subjectecl to alternating torsion at room temperature, 100°, 200°, 300°, and 400°C, and in air. It is shown that the slip-zone micro-cracking which characterizes fatigue damage produced by small amplitudes at room temperature is progressively replaced by grain boundary cracking at elevated temperatures, replacement being complete at 400°C. Replacement occurs not because slip activity decreases hut because slip movements at elevated temperatures cease to concentrate in narrow zones and instead disperse. Decrease of amplitude at 400°C through permitting longer lives of specimens before fracture actually causes in- MOST studies of fatigue at elevated temperature have been concerned with data for design. Observations on the basic mechanism of fatigue have been largely incidental, though they have led to the interesting inference that this mechanism has features in common with that of creep.' This paper is concerned primarily with the mechanism itself. Advantage has been taken of mater- crease in pain boundary damage, an anomaly attributed to the greater difficulty at elevated tempwature of starting and propagating a crack. Surface corrosion was most pronounced along slip bands but since at elevated temperatures the slip hands showed no cracking the surface corrosion did not appear to influence onset and early spread of fatigue damage. A NEW preparation plant has been put in - operation to treat coal from the recently opened Concord mine, located about 15 miles west of Birmingham, Ala., by the Tennessee Coal, Iron & Railroad Co., a U. S. Steel subsidiary. The mine produces metallurgical grade coking coal from the American seam for use as coke in the company's blast furnaces at the Fairfield and Enseley works. The capacity of the operation is 1000 tons of run-of-mine per hr, approximately half of which is delivered to the by-product coke plant at Fairfield after beneficiation to metallurgical grade. The remaining portion of the mine run is rock and refuse removed during preparation. No boiler coal or other fuels are produced by this mine. Preparation of the coal is done both under- ground and on the surface. The underground primary crushing station removes some tramp iron, and screens and crushes the oversize, most of which is rock, to protect the main slope conveyor.
